1. Acceptance of these Terms

These Terms of Use (“Terms”) are an agreement between you and Stellare Group LLC (“Stellare Group,” “we,” “us,” or “our”). They apply to the corporate website at stellaregroup.com, including its contact form (the “Site”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.

2. Site scope and informational content

The Site is a corporate marketing website that provides general information about Stellare Group and its portfolio of privately held companies. Site content is provided for general informational purposes only. It is not legal, financial, investment, tax, employment, or other professional advice, and you should not rely on it as a substitute for advice from a qualified professional.

Nothing on the Site is an offer, commitment, guarantee, or promise to enter into a transaction, provide a product or service, make an investment, employ any person, or establish a business relationship. A contact-form submission, discussion, or response does not by itself create a contract with Stellare Group or any portfolio company. Any products or services offered by a portfolio company are governed by that company’s separate agreements and policies.

3. Eligibility

The Site is intended for a business audience and is not directed to children under 13. If you are under the age of legal majority where you live, a parent or legal guardian must review and agree to these Terms on your behalf.

4. Permitted and prohibited use

Subject to these Terms, Stellare Group grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for lawful personal or internal business-information purposes.

You may not:

  • use the Site in violation of any law, regulation, court order, or third-party right;
  • submit false, deceptive, defamatory, threatening, harassing, infringing, unlawful, or malicious content;
  • impersonate another person or organization or misrepresent your identity, authority, or affiliation;
  • introduce malware or harmful code, probe or test vulnerabilities without authorization, attempt unauthorized access, or interfere with the Site or its infrastructure;
  • bypass, disable, defeat, or circumvent Turnstile, access controls, rate controls, robots directives, or other security or technical measures;
  • use bots, scraping, harvesting, or other automated means in a way that violates published instructions, creates an unreasonable load, disrupts the Site, or collects personal information without a lawful basis; or
  • copy, modify, distribute, sell, license, frame, mirror, or create derivative works from the Site or its content except as applicable law expressly permits.

We may restrict or block access when we reasonably believe a user has violated these Terms or poses a risk to the Site, our systems, or others.

5. Contact-form submissions

If you use the contact form, you agree to provide accurate information that you are authorized to provide. The form is intended for genuine business inquiries. Do not submit spam, unsolicited promotions, links, HTML, harmful code, unlawful material, or content that infringes another person’s rights.

Do not use the contact form to send trade secrets, privileged material, passwords, payment information, health information, government identification numbers, or other confidential or sensitive information. A submission does not create a confidential, fiduciary, advisory, employment, partnership, agency, or client relationship, and we do not guarantee that we will respond.

You retain any rights you have in the content of your message. You give us permission to receive, reproduce, transmit, review, retain, and use the submission as reasonably necessary to respond to or administer your inquiry, protect the Site, comply with law, and exercise our legal rights, in accordance with our Privacy Policy.

6. Privacy, analytics, and service providers

Our Privacy Policy explains how we collect, use, disclose, and protect personal information and describes the rights and choices that may be available to you.

We use third-party providers to operate and protect the Site and deliver, receive, and manage contact-form messages. These include Cloudflare for proxying, edge hosting, security, Turnstile, and Web Analytics; DigitalOcean for certain cloud hosting, infrastructure, and storage supporting our operations outside the Site’s public delivery path; Postmark for transmitting contact-form messages by email; and Microsoft 365 (Office 365) for receiving, storing, and managing those messages and related correspondence on our behalf. Site activity may be measured in aggregate to understand visitor interest, improve the Site, and evaluate marketing effectiveness. Cloudflare may also process network, device, request, and security information as traffic passes through its systems and when Turnstile loads. Please review the Privacy Policy for details.

7. Intellectual property

The Site and its text, design, layout, graphics, images, software, and other content are owned by or licensed to Stellare Group and are protected by copyright, trademark, and other laws. The Stellare Group name and related names, logos, product and service names, designs, and slogans are trademarks of Stellare Group or their respective owners. Portfolio-company names and marks remain the property of their respective owners.

No right, title, or interest in the Site or its content is transferred to you. Except for the limited right to use the Site under these Terms, you may not use our content or marks without prior written permission from the applicable owner. All rights not expressly granted are reserved.

8. Third-party websites and services

The Site may contain links to or information about third-party websites, portfolio companies, products, or services. We provide those references for convenience. A link or reference does not necessarily mean that we endorse the third party. We are not responsible for its content, availability, security, accuracy, or privacy practices. Your use of a third-party website or service is at your own risk and is governed by its own terms and policies.

9. Site availability and changes

We may change, suspend, restrict, or discontinue any part of the Site at any time. We do not guarantee that the Site or any content will always be available, uninterrupted, current, complete, or error-free. We may correct errors or update content without notice.

10. Disclaimers

To the fullest extent permitted by law, the Site and all Site content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. Stellare Group disclaims all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and freedom from harmful code.

We do not warrant that Site content is accurate, complete, reliable, current, or suitable for your needs; that access will be uninterrupted or error-free; or that defects will be corrected. Your use of the Site and reliance on its content are at your own risk. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

11. Limitation of liability

To the fullest extent permitted by law, Stellare Group and its affiliates, portfolio companies, and their respective officers, directors, members, employees, agents, licensors, and service providers will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages; loss of profits, revenue, data, goodwill, or business opportunity; or business interruption arising out of or relating to the Site or these Terms, even if advised that such damages are possible.

To the fullest extent permitted by law, any liability that cannot be excluded will be limited to losses that are a direct and reasonably foreseeable result of our breach. Nothing in these Terms excludes or limits liability that applicable law does not permit us to exclude or limit.

12. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Stellare Group and its affiliates, portfolio companies, and their respective officers, directors, members, employees, and agents from claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your intentional unlawful use of the Site, malicious content you submit, or your intentional violation of another person’s rights.

13. Governing law and venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Subject to any mandatory law that gives you the right to bring a claim elsewhere, the state and federal courts located in Maricopa County, Arizona will have exclusive jurisdiction over disputes arising out of or relating to the Site or these Terms, and you consent to their personal jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. We will post revised Terms on this page and update the “Last updated” date. Changes are effective when posted unless we state otherwise. Your continued use of the Site after revised Terms take effect means that you accept them. If you do not agree to the revised Terms, stop using the Site.

15. General terms

If a provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our written consent; we may assign ours in connection with a reorganization, transaction, or by operation of law. These Terms constitute the entire agreement between you and Stellare Group concerning the Site and supersede prior understandings about the Site.
